Lawyer specializing in the abrupt termination of business relationships: victim or perpetrator?

Terminating an established business relationship without sufficient written notice renders the terminating party liable. Article L. 442-1, II of the French Commercial Code penalizes the abrupt termination, even partial, of an established business relationship. Our lawyers represent companies experiencing a termination and advise those seeking to terminate the relationship, helping them determine the required notice period, quantify damages, and choose the most appropriate course of action.

When do we talk about a sudden termination of a business relationship?

What Article L. 442-1, II says

ArticleL. 442-1, II of the French Commercial Code, as reproduced by the DGCCRF (French Directorate General for Competition Policy, Consumer Affairs and Fraud Control), applies to any person engaged in production, distribution, or service activities. They are liable if they abruptly terminate, even partially, an established business relationship.

The complaint concerns the lack of sufficient written notice. This notice period takes into account, in particular, the duration of the relationship, trade practices, and interprofessional agreements.

An established business relationship

The victim must prove that the relationship was established. The Paris Court of Appeal describes it as sufficiently prolonged, significant, and stable.

The victim could then anticipate a certain continuity in the flow of business. Fixed-term contracts with variable rhythms do not preclude this characteristic (Cass. com., 28 Sept. 2022, n° 21-16.209).

A total or partial break

A break-up is not always a formal termination letter. A partial break-up involves imposing a substantial modification on one's partner, in an unfavorable direction (Cass. com., March 31, 2021, No. 19-14.547).

This may involve a significant and voluntary reduction in orders (Cass. com., 19 Oct. 2022, No. 21-17.653) or a substantial modification of the tariff conditions (Cass. com., 19 Oct. 2022, No. 21-22.802).

A partial termination is not considered abrupt when the buyer is themselves experiencing a temporary decline in orders (Cass. com., 8 Nov. 2017, No. 16-15.285). This is one of the limits we check first.

What notice period must be respected?

No legal scale

The Commercial Code does not specify a notice period. The judge assesses each relationship on a case-by-case basis.

Its objective is to give the company time to redeploy and regain an equivalent flow of business.

The criteria used by the judges

According to the methodological guidelines of the Paris Court of Appeal, the lower court judges notably consider:

  • the duration of the business relationship;
  • economic dependence, unless it is attributable to the victim;
  • the difficulty of finding an equivalent partner on the market;
  • market characteristics and product reputation;
  • the obstacles to a career change, in terms of time and entry costs;
  • investments dedicated to the relationship, not amortized and not convertible.

The 18-month threshold

Part II concerns disputes regarding the length of the notice period. The party initiating the termination can no longer be held liable for an insufficient notice period, provided they have respected an 18-month notice period.

This threshold protects the party initiating the termination. It does not state that 18 months are owed: the judge determines the appropriate duration on a case-by-case basis.

A written, unambiguous and effective notice

The text requires written notice. The intention to terminate must be expressed unequivocally, and the foreseeable nature of the termination does not make it any less brutal (Cass. com., 28 Sept. 2022, n° 21-16.209).

During the notice period, the relationship must continue under the previous conditions. Any modifications must not be substantial (Cass. com., June 24, 2020, No. 18-25.517).

Events occurring after notification of termination do not count when assessing the length of the notice period (Cass. com., May 17, 2023, No. 21-24.809).

The departure date and method of notification should be carefully planned. Our article on contractual notice periods, sending and receiving dates, details these points.

Our interpretation of the dispute

In these disputes, the length of the notice period is only one part of the debate. The termination letter and how the relationship is managed during the notice period are equally important.

Can we terminate the contract without notice?

The sufficiently serious non-performance

Section II does not preclude termination without notice in the event of non-performance by the other party of its obligations. This breach must be sufficiently serious (Cass. com., 7 Sept. 2022, No. 21-13.691).

Even in the face of a serious breach, the party terminating the contract can still grant notice (Cass. com., 14 Oct. 2020, n° 18-22.119).

Force majeure, that of the law

The law also makes an exception for force majeure. On June 24, 2026, the commercial chamber of the Court of Cassation ruled that these provisions are a matter of public policy.

A clause that contractually defines force majeure does not therefore exempt the judge from verifying the legal conditions (Cass. com., June 24, 2026, No. 24-21.626). Termination without notice based on a clause more flexible than the law may therefore remain open to challenge.

Our article on force majeure and the waiver of notice period revisits this mechanism.

The situations we deal with

A long-standing customer is reducing their orders

Volumes have fallen sharply after years of collaboration, without any formal termination notice. We are investigating whether this is a partial termination or simply a market fluctuation.

The contract is coming to an end

The partner announces that they will not renew, sometimes just a few weeks before the expiry date. The end of the contract does not always exempt the contract from giving notice.

A call for tenders replaces your contract

Your client is organizing a competitive bidding process. When it is regular, it can exclude the text in certain cases (Cass. com., 7 Dec. 2022, n° 21-15.649).

You are preparing the breakup yourself

You want to change suppliers or service providers. We tailor the notice period, the termination letter, and the conditions that remain in place during the notice period.

How does our support work?

  1. Describe the relationship

    We reconstruct the history: contracts, orders, invoices, correspondence. We verify that the text applies and we date the breach.

  2. Securing the notice period or the dispute

    On the victim's side: formal notice and written reservations. On the perpetrator's side: termination letter, notice period, and maintenance of conditions during the notice period.

  3. Quantify the damage

    We calculate the lost margin over the missing notice period, with the company's accountant, before any negotiation.

  4. Choosing the path

    Negotiation, summary proceedings to obtain the continuation of the relationship in certain cases (Cass. com., June 23, 2015, No. 14-14.687), or action before the court designated by decree.

How is compensation calculated for a sudden termination of employment?

The compensable damage

Only the damage caused by the abruptness of the termination is compensated, not that which results from the termination itself (Cass. com., Dec. 7, 2022, No. 21-17.850).

This mainly concerns lost profits: the margin that the victim could have expected during the notice period that should have been respected.

The contribution margin

The Paris Court of Appeal upheld the contribution margin. The Court of Cassation established a method: the expected revenue excluding tax, less the variable costs not incurred, and where applicable less the portion of fixed costs not incurred (Cass. com., June 28, 2023, No. 21-16.940).

In practice, the monthly average of this margin is calculated over two or three financial years preceding the termination. It is then multiplied by the number of months of notice missing.

Other damages

Other positions may be claimed if they result from the brutality: dedicated investments that have not been amortized and cannot be converted into cash, and the costs of layoffs that have become unavoidable. Moral damages may also be inferred from the brutality (Cass. com., 5 Apr. 2018, n° 16-26.568).

The parts to gather

The Paris Court of Appeal recommends submitting the annual accounts for the last three years, documents establishing the turnover generated with the party responsible for the termination, and statements from a chartered accountant regarding this turnover and the contribution margin rate. Its guidelines on assessing damages detail the methodology.

Victim or perpetrator of the breakup: which approach?

The two readers do not have the same priorities. The table compares the points we examine first.

In what cases does the text not apply?

Relationships excluded or governed by another regime

The text does not cover all business relationships. According to the guidelines of the Paris Court of Appeal and the Court of Cassation, it does not apply, in particular:

  • to the commercial agent contract , the notice period for which falls under Article L. 134-11 of the Commercial Code;
  • to transport falling under the LOTI, when the framework contract refers to the standard contract (Cass. com., 22 Sept. 2015, n° 13-27.726);
  • to liberal professions whose status or code of ethics prohibits the exercise of a commercial profession, such as lawyers (Cass. com., 24 Nov. 2015, n° 14-22.578);
  • to banking operations and related operations of credit institutions (Article L. 511-4 of the Monetary and Financial Code).

A relationship based on competition

Regular competitive bidding or the organization of calls for tenders may, in some cases, preclude the application of the text. Everything depends on the actual practices of the parties, which we analyze before advising on any action or termination.

Which court should be contacted and within what timeframe?

Courts designated by decree

Disputes falling under Article L. 442-1 are assigned to eight courts designated by decree (Articles D. 442-2 and D. 442-3 of the Commercial Code and Appendix 4-2-1). Appeals are brought before the Court of Appeal of Paris.

Bringing a case before another court exposes the party to a plea of lack of jurisdiction (Cass. com., Oct. 18, 2023, No. 21-15.378), which must be raised before any defense on the merits (Article 74 of the Code of Civil Procedure). The choice of court must therefore be verified before any summons is served. Our business litigation will handle the procedure.

Five years to act

The action is generally subject to a five-year statute of limitations (Article 2224 of the Civil Code, Article L. 110-4, I of the Commercial Code). The period runs from the day on which the holder of the right knew or should have known the facts.

The starting point may be the notification of a change in conditions rather than the final termination (Cass. com., July 8, 2020, No. 18-24.441). The termination date should therefore be carefully set, from the very first meeting.

Mistakes to avoid and reflexes to adopt

Three common mistakes

  • Terminating by a simple email or by reducing orders, without dated written notice that establishes the end of the relationship.
  • Granting a long notice period, then degrading commercial terms during that period.
  • Claiming lost revenue instead of contribution margin, without a calculation supported by a chartered accountant.

Three reflexes

  • Keep contracts, purchase orders, invoices and correspondence from the last three years.
  • Date the termination and notify your reservations in writing.
  • Have the contribution margin rate certified by the company's chartered accountant.

Frequently asked questions about the abrupt termination of business relationships

What compensation can be expected after a sudden termination of employment?

The compensation covers the harm caused by the abrupt termination. It primarily focuses on the lost contribution margin during the notice period that should have been granted. Other costs may be added if proven, such as layoffs that became unavoidable. The amount depends on the length of the notice period and the accounting documents provided. No results can be predicted in advance.

Does an 18-month notice period provide protection?

In a dispute concerning the duration of the contract, the party terminating the contract cannot be held liable for insufficient notice if they have respected 18 months' notice. However, the notice period must be effective: the relationship must continue under the previous conditions. A drop in orders or a tightening of conditions during this period could therefore reopen the debate.

Does a fixed-term contract prevent action?

Not necessarily. The existence of fixed-term contracts with variable schedules does not preclude the existence of a contractual relationship (French Supreme Court, Commercial Chamber, September 28, 2022, No. 21-16.209). Therefore, the contract's expiry date does not always exempt the parties from the notice period. However, a proper competitive bidding process can, in some cases, override this requirement. The contract and the parties' actual practices must be examined.

What is the time limit for taking action against one's partner?

The statute of limitations for such actions is generally five years, according to Article 2224 of the Civil Code. This period begins to run from the day the victim knew or should have known of the facts. It is advisable to precisely date the breach of contract and to act without delay, as accounting documents must be gathered and verified.

Can a company terminate its contract without notice after a breach of contract?

Yes, but only in cases of sufficiently serious non-performance or force majeure as defined by law (French Supreme Court, Commercial Chamber, September 7, 2022, No. 21-13.691). A force majeure clause that is less restrictive than the law allows is insufficient (French Supreme Court, Commercial Chamber, June 24, 2026, No. 24-21.626). The most prudent approach is to document the breaches and consider providing notice, even if it is short.

Which court has jurisdiction over this dispute?

These disputes are assigned to eight courts designated by decree. Appeals fall under the jurisdiction of the Paris Court of Appeal. Bringing a case before another court exposes the court to a plea of lack of jurisdiction (French Supreme Court, Commercial Chamber, October 18, 2023, No. 21-15.378), which must be raised before any defense on the merits (Article 74 of the French Code of Civil Procedure). It is therefore essential to identify the court designated for your situation before filing a summons.
